Business permits and licences in the Dominican Republic
Turn a proposed activity and premises into a practical permit map before signing a long lease, importing equipment or announcing an opening date.
Permit planning at a glance
- A Registro Mercantil and RNC identify the company; they do not authorise every activity at every address.
- The filing list depends on the premises, municipality, environmental footprint, products, services and proposed work.
- Lease, construction and equipment commitments should be conditional where a critical approval remains uncertain.
- Fees, inspections and decision standards are confirmed with each authority for the application date.
Who this service is for
- Founders who have formed an SRL, SAS, SA or EIRL but have not confirmed operating approvals.
- Restaurants, hotels, tour operators, importers, manufacturers, clinics, distributors and other regulated businesses.
- Companies moving premises, adding a business line, expanding a facility or changing the economic activity shown in the RNC.
- Foreign investors who need one bilingual team to coordinate local counsel, technicians and government submissions.
What Proxario handles
- A written matrix identifying the activity, site, authority, legal basis, filing dependency and renewal question.
- Corporate-document review so the company purpose, Registro Mercantil, RNC activity and signing authority support the application.
- Coordination with architects, engineers, environmental consultants, laboratories or other licensed professionals when technical work is required.
- Application preparation, responses to observations and a handover calendar for operating conditions and renewals.
Formation is not an operating licence
Dominican formation and operating authorisation answer different questions. The Registro Mercantil records the merchant. The RNC administered by the Dirección General de Impuestos Internos (DGII) identifies the taxpayer and its reported economic activity. A municipality decides whether a proposed use is compatible with an address. A sector regulator decides whether an activity, facility, product or service meets the standards within that regulator’s authority.
This distinction matters before a founder signs a lease. A valid company can choose a site where the use is restricted, construction approvals are incomplete, or an environmental or sanitary review changes the design. The lease should allocate permit risk, inspection access, improvement costs and what happens if a critical condition cannot be satisfied.
A practical permit matrix
| Business fact | Possible authority | Question to resolve |
|---|---|---|
| Commercial use, renovation, signage or occupancy | Competent municipality; for example, Ayuntamiento del Distrito Nacional in its jurisdiction | Is the use permitted, and which plans, ownership or lease records and professional approvals are needed? |
| Project, work or activity with environmental impact | Ministerio de Medio Ambiente y Recursos Naturales | Does it require an authorisation, category assessment, study, no-objection or operating conditions? |
| Food, beverages, cosmetics, medicines or health-related facilities and products | Ministerio de Salud Pública and/or DIGEMAPS | Does the obligation attach to the establishment, product, operator, or more than one? |
| Hotel, travel agency, tour operator or tourism service | Ministerio de Turismo (MITUR) | Which subsector licence and inspection route matches the service actually offered? |
| Employees and a workplace | TSS and Ministerio de Trabajo | Which employer, payroll and labour records must be activated without confusing them with an operating licence? |
| New activity, address or representative | Registro Mercantil and DGII/RNC, as applicable | Which corporate approval and registry update must precede or accompany the operating file? |
The matrix is a screening tool, not a universal checklist. A national approval does not necessarily replace municipal land-use or construction control. A municipal certificate does not establish compliance with a health, environmental or tourism regime.
How the engagement works
- Define the real activity. We record products, services, processes, equipment, staffing, waste, customers and every location. The analysis follows the actual operation, not its marketing label.
- Check the company and site. We compare the estatutos sociales, Registro Mercantil and RNC with the business plan, then review title or lease, plans and available land-use or construction records.
- Build the sequence. The matrix identifies dependencies, technical work and decision points. Official charges, inspection availability and current processing standards are confirmed before filing.
- Prepare and coordinate. We assemble legal records, obtain signatures and coordinate technical contributors where filing is included.
- Deliver the compliance calendar. Approvals, conditions, reports and possible renewal dates are assigned after checking each obligation against the issued instrument.
Documents and information we request
- Current Registro Mercantil, RNC record, estatutos sociales, management appointment and representative identification.
- An operational description, process flow, product list, equipment, staffing plan and intended opening or expansion date.
- Title or lease, cadastral information where relevant, location map, plans, photographs and available use, construction or occupancy records.
- Prior licences, inspection reports, notices, technical studies and authority correspondence.
- For a foreign principal, the passport and any power or corporate document required locally, apostilled or legalised and translated into Spanish when requested by the receiving institution.
Illustrative example: restaurant and packaged product
Example: a foreign-owned SRL plans a Santo Domingo restaurant and also wants to sell bottled sauce through supermarkets. The founders have an RNC and lease, but those records do not decide whether the premises support the commercial use, whether renovation or signage needs municipal approval, what establishment review applies, or whether the bottled product requires a separate sanitary registration. We would separate the restaurant operation from the packaged-product line, test the lease against critical approvals, confirm the registered activity, and coordinate municipal and health workstreams. This is illustrative, not a promise that the same filings apply to another location or product.
Fees and official costs
Professional fees are quoted in writing after the matrix defines the authorities, sites, technical disciplines and anticipated observations. Government charges, inspections, laboratory work, plans, studies, notarisation, apostille, translation, travel and third-party fees are separate. The official fee and payment method are confirmed with each authority for the filing date.
No responsible scope guarantees approval or a government decision date. We distinguish internal preparation milestones from authority-controlled inspections and decisions.

Frequently asked questions
Is company formation permission to operate?+
No. Formation registers the entity; land-use, environmental, health, tourism and other approvals depend on the activity and location.
Which permit should be requested first?+
There is no universal first filing. The site, activity and project footprint must be screened because one authority may require evidence from another.
Can one licence cover several locations?+
Do not assume so. Approvals may attach to a particular address, facility, activity or operator. The filing analysis confirms the scope before submission.
Can Proxario guarantee approval or timing?+
No. The authority controls classification, inspection and decision. Proxario coordinates without guaranteeing outcome or time.
Do permits need maintenance?+
Often yes. Conditions may require reports, inspections, display, renewal or notice of changes. The issued instrument controls.
