Practical browser tools

Dominican legal tools and calculators

Estimate a Commercial Registry renewal date and two common filing taxes, then use the result to ask the right question before you file, pay or close.

Use the estimate, then verify the file

  • All three calculations run only in your browser; the forms do not transmit your inputs.
  • The renewal tool adds two calendar years and marks the result Current, Due soon or Expired.
  • The incorporation-tax tool is expressly limited to the fiscal 2026 regime.
  • The transfer-tax tool begins with DGII's current 3% published rate, but the field is editable because the filing date and legal basis matter.
  • No result replaces a certificate, DGII assessment, exemption resolution or matter-specific advice.

Who these tools are for

  • Owners checking when a Dominican company may next need its Registro Mercantil renewed.
  • Founders building a 2026 formation budget before the entity and capital are finalized.
  • Property buyers separating a preliminary transfer-tax estimate from legal, registry, notarial and other closing costs.
  • Advisers and overseas clients who want a transparent starting point before asking Proxario to verify the records.

1. Registro Mercantil renewal-date calculator

Article 12 of Law 3-02 establishes a two-year renewal cycle counted from initial registration. Enter the date of the last renewal, or the initial registration date if the company has never renewed. The certificate and competent Cámara de Comercio y Producción record control when a late filing or unusual history breaks a simple anniversary pattern.

Estimate the next renewal date

The 90-day “Due soon” band is a planning convention, not a legal grace period.

Compare the result with the validity printed on the latest certificate.

2. Company-formation tax estimator: 2026 regime

For fiscal 2026, DGII publishes a formation tax calculated at 1% of authorized capital, with a RD$1,000 minimum when applicable, and identifies foreign companies and EIRLs as exempt. Do not use this estimator for an exempt entity. It applies only the percentage to the amount entered and does not decide whether another tax applies to contributed assets or which capital base the filing must use. Article 58 of Law 30-26 changes the underlying rule from fiscal 2027, so do not use this result for a later filing without checking current DGII guidance.

Estimate 1% of capital

2026 planning only. Enter Dominican pesos without currency symbols.

Do not use for a foreign company or EIRL. The calculator does not apply the minimum or any asset-transfer tax.

3. Real-estate transfer-tax estimator

DGII currently publishes a general 3% transfer tax on the taxable value it accepts for the property. The contract price is not necessarily the authority's final taxable value, and a properly evidenced statutory exemption may alter the result. The rate field is editable so the calculation can reflect the official rate confirmed for the actual filing date. Changing it is not a legal conclusion that another rate applies.

Estimate transfer tax

Use a planning value only. DGII's appraisal and the verified legal treatment control.

Default: DGII's currently published general rate. Confirm it before filing.

What Proxario checks beyond the arithmetic

ToolUseful starting pointWhat still needs verification
Renewal dateTwo years after the entered dateLatest certificate, Chamber history, amendments and any late-renewal treatment
Formation tax1% arithmetic under the stated 2026 regimeEntity, filing date, applicable minimum or exemption, capital base and contributed assets

Illustrative example

Example: an overseas founder plans to capitalize a Dominican company in late 2026 and use it to acquire an apartment. The formation estimator helps separate one possible government tax from Proxario's legal fee. The transfer tool creates a preliminary property-tax line, while the renewal tool places the company anniversary on a planning calendar. Before money moves, Proxario still checks the selected entity, Law 30-26 transition, DGII treatment, title, taxable value, any CONFOTUR evidence and the exact Chamber record. The example is illustrative, not a fee quote or promised outcome.

Documents to send for a legal review

  • For renewal: the latest Registro Mercantil certificate, RNC and any corporate acts not yet reflected in the public record.
  • For formation: proposed entity type, owners, authorized capital, contributions and expected filing date.
  • For a property transfer: the Certificate of Title, purchase agreement or draft, price and payment schedule, DGII records and any claimed exemption resolution.
  • For an overseas client: passport and any power of attorney or foreign corporate document, with authentication and Spanish translation as the receiving authority requires.

Professional fees and official costs

The calculators are free. A Proxario engagement is quoted in writing after the records and requested scope are identified. Professional fees are always separated from government charges, registry tariffs, taxes, notarial work, translations, apostilles, couriers and other third-party expenses. A calculator result is not an official charge notice or fee proposal.

Frequently asked questions

Do these calculators send my figures to Proxario?+

No. The calculations run in the browser and the forms do not submit the entered dates or amounts to Proxario.

Why is the company-formation tax estimator limited to the 2026 regime?+

DGII publishes the 1% formation-tax method for fiscal 2026, while Article 58 of Law 30-26 changes the underlying rule from fiscal 2027. The filing-date treatment must therefore be confirmed before payment.

Is the property transfer estimate the final DGII assessment?+

No. It multiplies the entered planning value by the editable rate. DGII confirms the taxable value and actual amount, and an evidenced exemption may change the result.

Does Due soon mean the Registro Mercantil has a 90-day grace period?+

No. The 90-day band is Proxario's planning convention. It is not a statutory extension or grace period.

Can I rely on a calculator instead of a document review?+

No. The certificate, filing date, entity, taxable value, governing law and current official guidance control. The tools help frame a question; they do not decide it.
