A current certificate is part of a usable company file

The Dominican Registro Mercantil, or Commercial Registry, is the public and mandatory system through which authorized Chambers record a business, its corporate acts and its filed information. A Certificado de Registro Mercantil is the Chamber-issued certificate used to prove that record. Article 12 of Law 3-02 requires a renewal every two years, counted from the initial registration, before the corresponding Cámara de Comercio y Producción.

This is not a second incorporation. The application goes to the Cámara de Comercio y Producción corresponding to the company’s registered domicile. The Santo Domingo Chamber describes renewal as updating the validity date on the certificate. Yet the filing is also a useful checkpoint. If the company appointed a new manager, moved its registered office or changed ownership without recording the change, simply extending the certificate may be the wrong answer. A corporate amendment is a separate filing that places a properly approved change on the public record. We identify that distinction before the application goes in.

Who this service is designed for

  • Dominican SRLs, SASs, SAs, EIRLs and other legal entities approaching their two-year renewal date.
  • Companies with an expired certificate that need a practical route back to a current record.
  • Owners living in the United States, Canada or Europe who need local filing coordination and a properly limited power of attorney when appropriate.
  • Businesses preparing for bank KYC, a government-supplier update, financing, diligence or a property transaction.

  • Reviews the certificate against available minutes, bylaws and recent company decisions.
  • Flags unrecorded management, ownership, capital, object or address changes before filing.
  • Prepares the application and supporting package and coordinates signatures or representation.
  • Files the renewal, follows Chamber comments and checks the certificate when issued.
  • Places the next review date on a controlled reminder calendar.

How the engagement works

  1. Send the latest certificate. We confirm the apparent deadline, the responsible Chamber and the basic company details.
  2. Run a registry gap check. The certificate is compared with relevant corporate records. If another filing is needed, it is identified and scoped rather than buried in the renewal.
  3. Approve a transparent quote. The written scope separates Proxario’s professional fee, quoted after the scope is reviewed, from official and third-party costs. The Chamber charge is tied to registered capital, and Proxario confirms the competent Chamber’s current tariff before filing.
  4. File and respond. We coordinate execution, submit the package and handle ordinary comments. Formalízate currently publishes a 1–5 business-day estimate, but the responsible Chamber controls its current processing time and no turnaround is guaranteed.
  5. Deliver and docket. We check the renewed certificate, provide the available copy and diarize the next review.

Documents we ask the client to provide

The Fedocámaras general verification checklist names two base items for renewal: the application form and the expired or soon-to-expire certificate. A clean file usually starts there, but the facts may call for more:

  • The most recent Registro Mercantil certificate and the company’s RNC tax number.
  • A current Dominican ID or passport for the authorized signer or representative.
  • Minutes, attendance lists, bylaws or resolutions for corporate changes not yet shown on the certificate.
  • A power of attorney when a representative will act for the company.
  • For a foreign company or overseas signer, apostilled or legalized documents and an official Spanish translation only when the document, its origin and the receiving authority require them.

Estimate the next renewal date

Enter the last renewal date. If the company has never renewed, enter its initial registration date instead. The tool adds two calendar years and displays Current, Due soon when the estimate is no more than 90 days away, or Expired. The 90-day band is Proxario’s planning convention, not a statutory extension or grace period.

Calculate an estimated date

The date you enter is processed in your browser and is not submitted to Proxario.

If you have the certificate, compare the estimate with its printed validity date.

Ask Proxario to handle the renewal

Verification note: this is an informational estimate. Article 12 refers to the initial registration cycle. Always confirm the validity printed on the certificate and the file status with the appropriate Chamber.

Why expiry creates practical friction

A live company frequently has to prove that its public record is current. The Dirección General de Contrataciones Públicas requires a current and updated certificate from national commercial companies and EIRLs for the Registro de Proveedores del Estado, or RPE. Its guidance also states that an RPE becomes outdated as deposited legal records expire. For an applicable corporate real-estate transfer, the Registro Inmobiliario lists a current Registro Mercantil among the supporting documents. Banks may likewise request it as part of corporate KYC, meaning the bank’s identity, ownership and risk review.

That does not support the claim that expiry automatically dissolves the company or voids every contract. The immediate problem is narrower and very real: the business cannot supply a current certificate when a bank, public body, registry or deal counterparty requires one. Nor does every notarized document automatically require the certificate. The requirement depends on the transaction and receiving authority. Renewal should therefore be handled before a financing, bid deadline or closing makes it urgent.

Illustrative example: a foreign owner preparing a property sale

Example: a Canadian owner held a Las Terrenas apartment through a Dominican SRL. The company’s certificate had expired, and the proposed sale required a current company record for the applicable title filing. The file review also showed that the original manager had resigned. The sensible sequence was to document and register the management change, complete the renewal, and then provide the current corporate package for closing. This is an illustration, not a promised result or timeline.

Professional fees and official charges

Proxario professional fee: stated in writing after the scope is reviewed. The written engagement identifies what is included. A corporate amendment, missing-book reconstruction or multi-period catch-up is priced separately if the initial review shows that it is needed.

Official charges: the amount depends on registered capital and the tariff of the Chamber with jurisdiction over the company. Proxario confirms the current amount before filing. Legal fees are shown separately from government charges, certifications, couriers, apostilles, translations and other third-party costs.

Frequently asked questions

How often must a Dominican Registro Mercantil be renewed?

Article 12 of Law 3-02 sets a two-year cycle counted from the initial registration. For a real filing, check the validity date shown on the latest certificate and confirm any unusual history with the Chamber responsible for the record.

Does an expired certificate automatically dissolve the company?

No. Expiry alone is not automatic dissolution. It does prevent the company from producing a current certificate and may delay banking, procurement, registry or transaction work until the record is renewed.

Can we renew if our manager, owners or address changed?

Yes, but a change supported by corporate action may need its own amendment filing. Reviewing it first avoids extending a certificate that no longer matches the company or receiving a Chamber comment for missing support.

What is required for a Commercial Registry renewal?

The general Fedocámaras checklist identifies the application form and the expired or soon-to-expire certificate. The entity type, the person signing and any pending company change can lead to additional supporting requirements.

Is the renewal calculator a legal confirmation of the deadline?

No. It adds two calendar years to the date entered and is intended for planning. The certificate and the Chamber’s record control, particularly after a late renewal, correction or unusual anniversary date.
