Lawyers in Santo Domingo for business, investment and cross-border matters
From our Santo Domingo office, Proxario coordinates Dominican company formation, corporate records, tax registration, intellectual property, contracts, real-estate work and matters for clients who live abroad.
Local coordination, national reach
- Our listed office is in Altos de Arroyo Hondo III, Santo Domingo.
- Company filings are coordinated with the chamber competent for the company’s registered domicile; the Santo Domingo Chamber administers the Mercantile Registry for its jurisdiction.
- DGII tax registration and ONAPI name or trademark work are distinct from Mercantile Registry filing.
- Many steps can be prepared remotely, but the responsible authority, bank or transaction participant may request originals or direct participation.
- Every engagement begins with a written scope separating legal fees from official and third-party charges.
Santo Domingo is the country’s principal center for corporate administration, finance and national public institutions. A legal matter here often crosses several systems: a company may need its commercial identifier reviewed by ONAPI, its legal personality documented through the competent Mercantile Registry, its tax profile established with the DGII and its contracts aligned with banking or sector requirements. These are connected workstreams, but they are not one interchangeable filing.
Proxario helps clients decide what must be done, which authority is responsible and what evidence should travel from one step to the next. Our office address is Altos de Arroyo Hondo III, M-D E-1, Office 101, Santo Domingo. We work with Dominican and foreign founders, investors, property owners and families, in person and remotely.
Company formation and corporate work in Santo Domingo
A company formation begins with commercial and governance decisions, not merely a certificate request. We compare the available entity types, document owners and beneficial owners, define managers and signing authority, prepare the constitutional records and coordinate the required filings. For foreign owners, the plan also identifies which powers, corporate certificates, apostilles or legalizations and Spanish translations are actually needed.
The Cámara de Comercio y Producción de Santo Domingo publishes Mercantile Registry services that include initial registration, modifications, renewals, registration of corporate documents, certifications, certified copies and validation of commercial books. The precise chamber depends on the registered domicile. We confirm jurisdiction before preparing a filing so the documents, address and corporate approvals point to the same place.
After incorporation, we support corporate amendments, manager or address changes, ownership records, registry renewal, annual governance, contract review and due diligence. A bank account, employer registration or sector licence remains a separate process. We organize those next steps without presenting incorporation as a guarantee that another institution will approve its own application.
DGII registration and tax administration
The RNC identifies a taxpayer before the Dirección General de Impuestos Internos. The economic activity, start date, responsible taxpayer and ownership information should be consistent with the corporate documents and the business that will actually operate. We coordinate the legal records used for registration and work with the client’s accounting adviser when tax classification, invoicing or recurring returns require specialist input.
The DGII’s official directory describes local administrations as operational offices that assist taxpayers, maintain registration information, receive requests and support tax compliance. It lists several administrations and service locations in the National District and the wider Santo Domingo area. Assignment depends on the taxpayer and geographic jurisdiction, so a nearby office is not automatically the correct office for every file. Many procedures also have digital channels; we check the current route rather than sending a client to an office unnecessarily.
ONAPI names, trademarks and intellectual property
A commercial name identifies a business or establishment, while a trademark distinguishes goods or services. Neither registration creates a company or replaces the Mercantile Registry. We help clients clear the proposed sign, define the applicant and protected activities or classes, prepare the application and respond to formal observations when they arise.
ONAPI publishes its principal office on Avenida de los Próceres in Santo Domingo and a branch in Santo Domingo Este, as well as electronic service channels for matters such as commercial names. The correct strategy depends on whether the client needs a company identifier, trademark protection, a licence or a wider portfolio review. We keep the ownership of the sign aligned with the entity that will use and enforce it.
Real estate, contracts and investment support
Santo Domingo transactions can involve apartments, offices, commercial leases, development interests or operating businesses. For a purchase, legal review should address the registered owner, title and cadastral records, liens or annotations, seller authority, condominium or project documents, the payment trail and the conditions that must be met before closing. For a lease or commercial contract, the priorities include authority, term, renewal, payment, maintenance, assignment, default and a practical dispute mechanism.
Foreign clients can often complete defined acts through a carefully drafted special power of attorney. The power should name the transaction, set limits and grant the precise signing and filing authority needed. Execution abroad may require authentication and a usable Spanish translation. We confirm the form before signature and coordinate originals so the closing or registry does not begin with a preventable document problem.
How an engagement works
- Initial review. You tell us the objective, people, entity or asset involved, location and target date.
- Authority map. We identify the competent chamber, DGII channel, ONAPI service, registry, bank or sector authority.
- Written scope. The proposal states the legal work, client documents, exclusions and separate official or third-party charges.
- Document preparation. We align names, identity records, ownership, authority and supporting evidence before filing.
- Execution and reporting. We submit or coordinate the agreed steps, respond to procedural observations and provide the resulting records.
- Handover. The client receives the documents and a checklist for renewals, tax, governance or other next actions.
