How to use this guide
- Identify the topic and collect the documents supporting it.
- Confirm the competent institution and its current form.
- Do not treat a general answer as a conclusion about your file.
Formation and entity choice
Do I need a Dominican partner to form a company?+
No general Dominican-ownership requirement applies to an ordinary commercial company. Regulated activities, land-use rules, licensing and the source of investment can create separate questions, so the proposed business should be reviewed before the entity is chosen.
Which entity is usually considered for a closely held business?+
An SRL is often considered for a business with a defined group of owners, but it is not automatically the best fit. Governance, financing, transfer restrictions, tax treatment and future investors should drive the choice.
Can a foreign individual be a shareholder or manager?+
Foreign individuals may participate in Dominican companies. Their identification, civil-status information, address and signing method must be documented in the form accepted by the Chamber, DGII and any other authority involved.
Can I form the company without traveling to the Dominican Republic?+
Many steps can be coordinated remotely through a properly prepared power of attorney and authenticated supporting documents. The bank, notary or a particular authority may still require additional identity checks or a personal appearance.
What should be decided before drafting incorporation documents?+
Decide the business purpose, owners, management, capital structure, registered address and signing authority. Resolve any shareholder arrangements early so the bylaws and private agreements do not contradict one another.
Initial registrations
Is a trade name the same as a trademark?+
No. A trade name identifies a business activity, while a trademark distinguishes goods or services. ONAPI administers both, but the applications, searches and scope of protection are different.
Does company formation automatically produce an RNC?+
The company and its tax registration are connected processes, but the commercial file does not replace the DGII record. The RNC, taxpayer obligations and authorized fiscal documents must be handled according to the activity.
What is the Registro Mercantil?+
It is the public commercial registration maintained by the competent Chamber of Commerce and Production under Law 3-02. The certificate records key information about the merchant or company and must be kept aligned with the underlying corporate file.
Which Chamber handles the commercial registration?+
Competence generally follows the registered domicile of the merchant or company. The correct Chamber should be confirmed before filing because its forms, portal and documentary review govern the submission.
Can ONAPI approval replace the Chamber filing?+
No. An ONAPI trade-name result and the Chamber's commercial registration serve different legal functions. A formation file usually coordinates both rather than treating one as a substitute for the other.
Commercial renewal
How often is the Registro Mercantil renewed?+
Law 3-02 establishes a two-year renewal cycle from the initial registration. The latest certificate and Chamber record should be checked because an overdue or corrected file may require more than a simple anniversary calculation.
What if the commercial registration has already expired?+
The company should first reconcile its Chamber file, corporate acts and current information. Depending on the history, renewal may need to be coordinated with amendments or missing documents rather than filed alone.
Does renewal update a change of manager or address?+
Not by itself. A change must be supported by the proper corporate decision and filed in the form required by the Chamber and, where applicable, DGII or other registries.
Can the company continue signing contracts while its registration is overdue?+
An overdue registration creates practical and legal risk, including problems proving current authority to banks, counterparties and public bodies. The effect on a particular contract should be reviewed rather than assumed.
How do I check the next renewal date?+
Start with the issuance and validity information on the latest certificate and compare it with the Chamber's record. Proxario's renewal calculator is a planning tool; the official file controls.
Ongoing compliance
What ongoing records should a Dominican company maintain?+
Maintain current corporate books, ownership and management records, approved financial and corporate decisions, tax registrations and evidence of filings. The exact set depends on the entity and its activity.
Are annual corporate and tax duties the same thing?+
No. Corporate approvals, Chamber filings, DGII declarations, labor and social-security duties are separate workstreams. A compliance calendar should assign each obligation, document and responsible person.
When should a corporate amendment be filed?+
A change in capital, governance, ownership information, purpose, address or other registered fact should be assessed promptly. The approving act, Chamber filing and tax-record update need to tell the same story.
What happens if the beneficial-owner information changes?+
The company should review the corporate and tax records that capture ownership or control and update the relevant authority as required. Supporting documents should be retained with the compliance file.
Can Proxario manage renewal and compliance together?+
Yes. The scope can combine a document review, renewal planning, corporate record updates and a recurring compliance calendar. Government and third-party charges are quoted separately from attorney fees.
Real estate matters
Can a foreigner buy property in the Dominican Republic?+
Foreign buyers may acquire Dominican real estate, subject to the same need for title, tax, survey, contract and source-of-funds review. Immigration status alone is not a substitute for transaction due diligence.
What should be checked before paying a reservation deposit?+
Review the seller's authority, title status, property identity, project approvals, payment conditions, refund rights and escrow arrangement. A marketing brochure or reservation receipt is not a title investigation.
Why is a title search not enough by itself?+
The registered title is central, but due diligence may also involve survey status, annotations, taxes, condominium records, possession, permits, litigation and the seller's capacity. The scope depends on the property and transaction.
What does CONFOTUR due diligence cover?+
It verifies the project and the specific benefit being represented, the operative resolutions, eligibility conditions and how the claimed treatment fits the contemplated purchase. A developer's statement should be matched to official records.
Should I buy property personally or through a company?+
Either structure can have legal, tax, governance, succession and financing consequences. The right choice depends on use, co-ownership, rental plans, exit strategy and the buyer's home-country advice.
Working from abroad
Can I sign Dominican documents while abroad?+
Often yes, using a power of attorney or other instrument prepared for the intended act. Signature authentication, apostille or consular legalization, translation and local protocol requirements must be coordinated before shipment.
Will an English document be accepted as filed?+
Dominican filings generally require Spanish or an accepted Spanish translation. The receiving institution determines whether a certified or judicial translation and additional authentication are needed.
How does an apostille fit into a Dominican filing?+
An apostille authenticates the origin of an eligible public document between Hague Convention jurisdictions; it does not translate the document or prove the truth of its contents. The receiving authority's formal requirements still apply.
Can Proxario coordinate with my lawyer or accountant abroad?+
Yes. Cross-border matters work best when Dominican corporate, tax or property steps are coordinated with the advice you receive in your country of residence. Each adviser remains responsible for their jurisdiction.
Does sending a contact form create an attorney-client relationship?+
No. A matter begins only after conflict review, scope confirmation and a written engagement. Avoid sending unnecessary confidential or original documents until the intake process is confirmed.
