A corporate amendment is a documented change to the company’s legal or registered facts. It is not one universal form. A capital increase, transfer of SRL quotas, new manager, move of the legal domicile and transformation from an EIRL to an SRL each trigger a different chain of approvals and evidence. Proxario maps that chain before signatures are collected, so the internal decision, public Registro Mercantil record and DGII’s Registro Nacional de Contribuyentes (RNC) do not contradict one another.
Who this service is for
- A company admitting an investor, buying out an owner or reorganizing indirect ownership.
- An SRL, SAS, SA or EIRL changing management, business purpose, legal name or registered domicile.
- A business increasing or reducing capital, documenting an in-kind contribution or correcting a stale public certificate.
- An owner evaluating a transformation because the present legal form no longer fits governance, financing or succession plans.
What Proxario handles
- Reviews the bylaws, entity type, ownership register, prior acts, Registro Mercantil and RNC record.
- Identifies the competent body, notice, quorum, voting and consent requirements rather than treating every change as an ordinary meeting.
- Drafts the minutes, attendance list, resolutions, revised bylaws, transfer instrument or EIRL owner’s act required by the chosen route.
- Coordinates notarization, signatures, powers of attorney and official Spanish translations where the receiving authority requires them.
- Files the appropriate modification or document registration with the Cámara de Comercio y Producción and checks the resulting certificate.
- Prepares or coordinates the RC-02 RNC update and its annexes, including beneficial-owner support.
- Delivers a closing set and flags downstream bank, TSS, permit, contract or tax records that the client must align.
Different changes require different evidence
| Change | Corporate focus | External alignment |
|---|---|---|
| Legal or commercial name | Availability/ONAPI evidence where applicable, competent approval and amended text | Registro Mercantil, RNC, invoices, bank and contracts |
| Manager or representative | Appointment, acceptance, revocation and signing authority | Public certificate and RNC representative data |
| Partners, shareholders or quota/stock transfer | Transfer restrictions, consent, instrument, ownership register and beneficial owner | Registro Mercantil/RNC treatment depends on entity and change |
| Capital increase or reduction | Approval, subscription, payment or contribution evidence and creditor safeguards where applicable | Amended capital record, DGII support and the official charge confirmed for the filing |
| Legal domicile or business purpose | Authority under bylaws and precise revised clause | Address evidence, Chamber, RNC and sector permits |
| Transformation, including EIRL to SRL | Transformation act, new governing documents and special financial statements where applicable | Modified Registro Mercantil and RNC transformation update |
The legal route is entity-specific
For an SRL, Articles 114 and 117 of Law 479-08, as amended by Law 31-11, place amendments to the bylaws, capital changes and transformation within extraordinary decision-making and require the modified text to be clear. A SAS may rely more heavily on its bylaws, while an EIRL acts through its owner and its constitutive act. Transfer rules also differ between cuotas sociales (SRL ownership interests) and shares. We therefore verify the current law, bylaws and registered record before choosing a document set.
The Cámara de Comercio de Santo Domingo distinguishes modification, document registration and data update. Those labels matter: a minor correction that needs no corporate act is not the same service as a statutory amendment. Before filing, we confirm the competent Chamber’s current forms, verification rules and tariff.
How the engagement works
- Define the target state. We confirm what should change, when it should take effect and which existing facts must remain untouched.
- Run authority and consistency checks. We read the bylaws and earlier acts, trace ownership, identify approvals and compare the RNC with the Registro Mercantil.
- Prepare and execute the instruments. The correct body approves the transaction; signatures, powers and foreign documents are completed in the required form.
- File in sequence. The corporate act is presented to the appropriate Chamber, followed by the RNC update and any transaction-specific step. The authority’s current response standard is confirmed when the filing is prepared.
- Reconcile the closing record. We check names, IDs, capital, ownership and authority across the returned certificate and supporting records, then deliver the closing file.
Documents the client provides
- Current Registro Mercantil, RNC record, bylaws and every amendment relevant to the requested change.
- Minute book, partner/shareholder register, management appointments and the latest ownership chart.
- Dominican IDs or passports for affected owners, managers and authorized signers.
- Transaction evidence: transfer agreement, subscription terms, proof of contribution or address support, depending on the change.
- Financial statements or a special balance when transformation or capital treatment requires it.
- For foreign signers or entities, corporate authority documents, power of attorney, apostille/legalization and official Spanish translation as required.
Illustrative example: investor entry and manager change
Example: a two-owner SRL agreed to admit a third investor and appoint that person as a co-manager. The review showed that the proposed transfer, capital contribution and management appointment had different approval and evidence requirements. The parties completed the transfer and subscription documents, the partners adopted a precise extraordinary act, the ownership register and bylaws were updated, and the Chamber and RNC filings were reconciled. This is an illustrative scenario, not a promise that another file follows the same route.
Fees and disbursements
Our written proposal separates legal fees quoted after the scope is reviewed from official Chamber or DGII charges, ONAPI services, notarization, certifications, translations, apostilles, accounting evidence and courier costs. Capital-based charges, taxes, filing fees and the applicable response standard are confirmed from current official publications before the client authorizes the work. No result or completion date is guaranteed.
Frequently asked questions
Is every ownership transfer a bylaws amendment?
Not necessarily. The answer depends on the entity type, the bylaws, transfer restrictions, and whether the capital structure or listed owners must change. The transfer instrument, approvals, ownership register, Registro Mercantil and RNC consequences should be mapped before signing.
Can a manager change take effect before the Registro Mercantil is updated?
The underlying corporate decision and its effectiveness depend on the governing documents and law, but third parties commonly rely on the public certificate. Prompt registration and RNC alignment reduce authority disputes.
Does moving offices require an extraordinary meeting?
It depends on whether the legal domicile is fixed in the bylaws and on the authority delegated to management. Evidence of the new address and updates before the Chamber and DGII may still be required.
Can an EIRL become an SRL?
Dominican law and DGII guidance recognize transformations, including EIRL-to-SRL. The route requires entity-specific instruments, an opening balance or special financial statements where applicable, an updated Registro Mercantil, and an RNC update. The exact package must be verified.
Is an increase in capital just a DGII payment?
No. It normally involves a valid corporate approval, amended capital terms, subscription or contribution evidence, Registro Mercantil work and an RNC update. Any tax or official charge must be confirmed for the transaction and filing date.
