Bringing an expired Dominican company record up to date
Renew a lapsed Registro Mercantil, identify unfiled company changes and coordinate separate DGII issues without confusing certificate expiry with dissolution.
“Inactive” can describe several different problems
When an owner says a Dominican company is “inactive,” the first task is to identify the record that is actually out of date. Article 12 of Law 3-02 places the Registro Mercantil on a two-year renewal cycle. Missing that renewal means the certificate is expired; it does not say that the company has automatically dissolved.
A company may simultaneously have an expired certificate, unrecorded changes, missing minutes, outstanding tax filings, a DGII cese temporal, TSS matters or a completed dissolution. Those conditions belong to different authorities and require different instruments. A proper puesta al día, or catch-up, begins with diagnosis rather than a blanket promise to “reactivate” everything.
Who needs a catch-up review
- Owners who need a current certificate for banking, government procurement, financing, a property transaction or diligence.
- Companies that missed one or more renewal cycles and changed managers, owners, capital or domicile in the meantime.
- Dominicans abroad or foreign shareholders who inherited an incomplete corporate file.
- Businesses that stopped operating informally and now need to distinguish Chamber, DGII and TSS status before resuming activity.
Four records that must not be confused
| Condition | What it means | Likely route |
|---|---|---|
| Expired Registro Mercantil | The Chamber certificate is outside its validity period | Renewal and current-tariff review |
| Unrecorded corporate act | A manager, owner, capital, name or domicile changed without filing | Corporate amendment plus renewal, as applicable |
| DGII cese temporal or tax gap | The tax account has a separate status or missing obligations | DGII procedure and return/payment review |
| Dissolution or liquidation | The company entered a formal termination process | Legal and tax analysis; ordinary renewal is not reinstatement |
What Proxario handles
- Obtains or reviews the latest certificate, RNC information and available corporate books.
- Builds a chronology of renewals, minutes, ownership, managers, capital, domicile and business purpose.
- Separates a straightforward renewal from amendments, book reconstruction and tax or payroll work.
- Prepares corporate decisions and Chamber applications included in the approved scope.
- Coordinates powers, overseas signatures, apostilles and official translations when a foreign owner cannot attend.
- Checks the issued certificate and delivers a compliance map for the next cycle.
How the engagement works
- Record triage. You send the latest certificate, RNC and available minutes. We identify the responsible Chamber and visible gaps.
- Status matrix. We classify each issue as renewal, corporate amendment, DGII, TSS, sector permit or possible dissolution matter. Online status is treated as a lead, not a substitute for the authority’s file.
- Written scope. After reviewing the scope, the quote separates professional work, official charges and third-party costs. Items that cannot yet be measured are described and confirmed before the client authorizes them.
- Corrective sequence. Required corporate acts are approved and filed in the order the responsible Chamber accepts. DGII and TSS work proceeds on its own track when included.
- Delivery and calendar. We review the available output, explain remaining obligations and docket the next corporate review.
Documents that make the review efficient
- Latest Registro Mercantil certificate, even if expired, and the company RNC number.
- Constitutive documents, bylaws, ownership register and all available meeting minutes.
- Evidence of current managers, address, owners and capital.
- DGII notices, tax-account screenshots or cese communications, if the problem includes tax status.
- TSS or labor notices if employees existed or operations will resume with staff.
- Passport, Dominican ID and a limited power of attorney for each person who must sign or act remotely.
DGII cessation is not a Chamber renewal
DGII publishes a separate procedure for lifting a cese temporal. Its current guidance identifies the RC-02 and a request letter for legal persons and notes that additional documents may be required. That procedure does not renew the Registro Mercantil or record a new manager. Conversely, renewing at the Chamber does not file missing tax returns or change DGII status. We confirm the current requirements and published response standard against DGII guidance before filing.
Illustrative scenario: an SRL needed for a delayed sale
Example: an SRL formed to hold a Santo Domingo property had not renewed for four years. Its original manager had moved abroad, but no replacement had been recorded. A buyer requested a current corporate package. The appropriate plan was not to describe the entity as dissolved: it was to reconstruct the ownership and management history, approve and file the management change, renew the Registro Mercantil, and coordinate any separate DGII gaps before closing. This is an illustration, not a promised result or timing.
Professional fees and catch-up costs
Professional fee: stated in writing after the scope is reviewed. A simple renewal, an amendment package, book reconstruction and tax-account work are separately scoped so the client can see what each solves.
Official charges: the current Chamber tariff, treatment of missed cycles and filing-date requirements are confirmed after the record review. Taxes, penalties, certifications, couriers, apostilles and translations are separate. Completion time depends on the record and authority comments, so the applicable institutional standard is confirmed with the written scope.
Frequently asked questions
Does an expired Registro Mercantil mean the company is dissolved?+
No. Expiry of the certificate is not the same legal event as dissolution. It means the company cannot present a current certificate and may need renewal and related updates before a bank, registry or counterparty will proceed.
Can the Chamber renewal fix an unrecorded manager or ownership change?+
A renewal updates validity; a corporate change supported by minutes or other action may need its own amendment filing. We identify and sequence that filing rather than presenting renewal as a cure for every discrepancy.
What if DGII shows a temporary cessation or pending tax filings?+
DGII status is separate from the Chamber record. Lifting a cese temporal or resolving filings follows DGII procedures and should be scoped independently from the Registro Mercantil renewal.
Can an already dissolved company be reinstated through this service?+
Not by ordinary renewal alone. Dissolution, liquidation, RNC cancellation and an expired certificate are different conditions. The legal and tax record must be reviewed before deciding whether any reversal is available or a new entity is needed.
How long does a catch-up filing take?+
There is no reliable universal period. Timing depends on the responsible Chamber, missed cycles, unrecorded acts, tax status and document quality. We confirm the current institutional standard when reviewing the file.
