RNC tax-ID registration for Dominican companies
Turn the Chamber record into an accurate DGII taxpayer file, with ownership, activity and the responsible person documented from the outset.
The RNC is the company’s tax identity
The Registro Nacional de Contribuyentes (RNC) is the identifying number used by the Dirección General de Impuestos Internos (DGII) to administer a taxpayer’s duties and rights. It is separate from the Registro Mercantil issued by the appropriate Cámara de Comercio y Producción. For a Dominican company, the Chamber record and constitutional documents usually form part of the RNC file.
An RNC is not a general license to operate. It does not by itself authorize tax receipts, certify a regulated activity, create a TSS employer account or compel a bank to approve an account. The application should therefore describe the real economic activity, identify the person responsible for tax obligations and disclose the natural persons who ultimately own or control the structure.
Who needs coordinated RNC registration
- A newly formed SRL, SAS or SA after its Registro Mercantil is issued.
- An EIRL owner completing the tax-registration stage.
- A foreign company or branch registering to operate or meet Dominican tax obligations.
- An entity with foreign shareholders, contributions in kind, a regulated activity or a layered ownership chain.
What Proxario handles
- Reviews the Registro Mercantil, corporate instruments and owner data for consistency.
- Prepares the RC-02 declaration and the annexes required by the facts.
- Identifies the responsible natural person whose express acceptance must appear in the supporting corporate act.
- Maps direct, indirect and control-based ownership for the beneficial-owner annex.
- Organizes passports, cédulas, foreign-company records and contribution evidence.
- Submits through the selected DGII channel and responds to in-scope observations.
- Separates the subsequent requests for fiscal receipts, e-CF status, TSS and tax-regime configuration.
RC-02 package: what changes with the facts
| Circumstance | Typical DGII record | Control point |
|---|---|---|
| Natural-person owners | RC-02 and Annex A where applicable; cédula or passport copies | Names and identification match the Chamber file |
| Foreign corporate shareholder | Annex B and foreign constitutional/registry records | Spanish translation and legalization assessed document by document |
| Contribution in kind | Annex C and title, registration or valuation evidence | Contributor owns the asset and corporate records describe it accurately |
| Ultimate owners or control | Mandatory Annex D | Look through intermediate entities to natural persons |
| Subject-obliged activity | Annex E when applicable | Classification is based on the actual activity, not a convenient label |
How the filing moves
- Reconcile the records. We compare names, capital, address, activity, ownership and management across the Registry certificate and signed instruments.
- Select the channel. DGII provides virtual and in-person paths, while qualifying one-stop applications may originate through Formalízate or Empresas en 24 Horas. Eligibility must be checked at submission.
- Complete RC-02 and annexes. Blank or inconsistent ownership fields are resolved before upload.
- File and track. We preserve the receipt and answer a document request within the agreed scope.
- Review the result. The RNC data is checked before the company uses it in banking, invoicing or contracting.
Documents the client provides
- Current Certificado de Registro Mercantil and the registered estatutos sociales and acta constitutiva.
- Cédula or passport for owners, managers and the responsible person.
- ONAPI certificate when the company has a registered nombre comercial.
- Constitution-tax receipt when applicable to the entity and filing date.
- Foreign shareholder records, authority and official Spanish translation as applicable.
- Title, vehicle registration or other evidence for an in-kind contribution.
- Support for the registered domicile and declared activity when DGII requests verification.
Response standards are not a completion promise
DGII’s official help page publishes a general response standard and longer standards for contributions in kind, economic-activity verification and certain regulated entities. Formalízate submissions have a different published standard when properly completed. Reintroduction can restart the commitment period. We treat those figures as institutional targets, not a guarantee, and reconfirm them before filing. The channel-specific published response standard and any activity-verification treatment are confirmed before filing.
Official amounts and professional fees
DGII states that RNC registration itself follows its published service conditions, while the constitution charge, when applicable, is a separate pre-registration item. Any tax, copy, translation, notarization or legalization cost is itemized at the then-current official amount. The professional fee stated in the written proposal covers legal review, ownership mapping, form preparation, filing and agreed follow-up. The filing-date tax treatment and third-party charges are confirmed before the proposal is finalized.
Illustrative scenario
Example: a Dominican SRL is owned 60% by a Canadian corporation and 40% by an individual founder. The RNC file cannot stop at the Canadian company name. We organize the foreign company’s registry and authority evidence, identify the natural persons required for beneficial-owner reporting, align the activity with the Chamber record and document the local responsible person’s acceptance. This is an illustration; DGII controls the final requirements and response.
Page-specific questions
Is the RNC the same as the Registro Mercantil?
No. The Registro Mercantil is the Chamber record of the business or company. The RNC is DGII's taxpayer identification. A Dominican company normally needs the Chamber record before its RNC application.
Must every owner already have an RNC?
DGII's online instructions state that shareholders must be previously registered so the system recognizes their cédula or RNC data. Before submission, we confirm the selected channel's treatment of a foreign owner who uses a passport.
What is the beneficial-owner annex?
DGII's incorporation guide identifies RC-02 Annex D as the mandatory record for natural persons who ultimately own or control the entity. It is not replaced by listing an intermediate company as shareholder.
Can the company open a bank account when the RNC is issued?
The RNC is a core bank-KYC document, but account approval remains a separate private compliance decision. Banks can request ownership, source-of-funds, activity and foreign tax information beyond the RNC certificate.
Why can DGII ask to verify the activity?
DGII publishes extended response standards for certain activities and may verify the declared economic activity or address. A precise, supportable activity description reduces avoidable discrepancies but cannot guarantee acceptance or timing.
