Dominican Sociedad Anónima formation

Set up a formal stock corporation for a larger ownership group, substantial capitalization or institutional governance requirements.

Shareholders: 2 or moreAuthorized capital: RD$30,000,000Subscribed and paid: 10%Governance: Consejo de Administración

The SA is a governance choice, not a status label

A Dominican Sociedad Anónima (SA) is a stock corporation with a formal capital, board and supervision framework. It may be justified for a capital-intensive project, broad ownership, institutional investors or a regulated activity that expects this form. A private company with a handful of owners should still compare the SAS and SRL: adopting the most formal entity without resources to maintain it can create missed approvals and unreliable records rather than credibility.

  • Infrastructure, industrial or financial projects involving substantial capital.
  • Businesses with a Consejo de Administración and structured reporting.
  • Ownership groups that need documented oversight and collective decisions.
  • Activities whose regulator or financing documents prescribe a corporate form.

Confirmed capital thresholds, with a current-adjustment caveat

Article 160 of Law 479-08 establishes RD$30,000,000 as minimum authorized capital for an SA. Article 164, paragraph II, requires one tenth to be fully subscribed and paid. The Santiago Chamber accordingly lists RD$3,000,000 as the current minimum subscribed amount. Article 160 also permits a conditional regulatory adjustment, so Proxario checks with MICM and the competent Chamber for any filing-date adjustment before execution. These are legal thresholds, not an operating budget or tax estimate.

What our formation engagement covers

  • An entity-selection memorandum comparing SA, SAS and other available forms.
  • ONAPI trade-name work and screening for regulated business activity.
  • Bylaws, constituent meeting, subscriptions, contributions and initial appointments.
  • Board representation, meeting, share and oversight rules.
  • Registro Mercantil filing and corporate certificates needed for activation.
  • RNC, beneficial-owner disclosure and coordination with accounting or sector advisers.

Implementation path

  1. Regulatory assessment. We identify whether the activity requires an SA and which permits sit outside company formation.
  2. Capital architecture. Shareholders, contributions, rights, payment evidence and funding sequence are mapped.
  3. Organizational documents. Bylaws, meeting and board records, acceptances and powers are prepared.
  4. Registration. Chamber and DGII work proceeds after the filing-date forms, official charges and published response standards are confirmed.
  5. Controlled launch. We deliver books, a signature matrix, meeting calendar and a list of board or shareholder approvals.

Information needed from the founders

  • Identity and address records for shareholders, directors, supervisors and beneficial owners.
  • Capital structure, currency, nature of contributions and funding evidence.
  • Business plan summary and known sector approvals.
  • Registered-office information and local filing contacts.
  • Foreign corporate certificates, investment resolution, apostille and official translation.
  • Any additional Chamber or DGII evidence identified when the matter opens.

Illustrative scenario: a regional logistics platform

A warehouse project combines a Dominican operator, a foreign fund and local investors. The financing documents require a board, audited information and collective approval for annual budget, major debt and property acquisitions. An SA may support that framework if the owners can maintain the board and oversight record. Choosing it only for appearance would add failure points. The scenario does not predict a regulator’s decision, financing outcome or tax result.

Legal fees, capital and filing expenses

Advice, drafting and coordination are quoted in writing after reviewing the scope. Formation tax, Registro Mercantil charges, certificates, translations and legalizations remain separate. A regulated activity may involve an additional application and adviser. Applicable tax treatment, official charges, supporting documents and published response standards are confirmed against the structure and filing date.

Frequently asked questions about sa formation

Does every large Dominican company need to be an SA?

No. Scale is one factor. The business must examine regulation, investors, capital, oversight and governance; a SAS may offer sufficient structure in some cases.

How much of the authorized capital must be paid initially?

One tenth must be fully subscribed and paid. Using the published statutory minimum, the Santiago Chamber identifies RD$3,000,000, subject to the filing-date adjustment check.

Does an SA require a comisario de cuentas?

The law and current Chamber description contemplate this oversight role. Eligibility, appointment, scope and any applicable exceptions must be confirmed for the company.

May a foreign company own SA shares?

Yes, if it proves existence, authority and beneficial ownership through current records, usually with apostille or legalization and official Spanish translation.

Does the Registro Mercantil authorize a regulated business?

No. Commercial registration and RNC do not replace a concession, license or sector approval. Those dependencies are scoped separately, and the current requirements and published response standards of the competent authority control.
