Dominican SAS formation

Translate an investment arrangement into a flexible Dominican company with deliberate voting, management, capital and exit rules.

Shareholders: 2 or moreAuthorized capital: RD$3,000,000Subscribed and paid: 10%Focus: flexible governance

When the SAS is worth the additional design work

The Sociedad Anónima Simplificada (SAS) is a simplified stock corporation introduced through Law 31-11. It gives two or more founders considerable room to organize management and shareholder rights in the estatutos sociales. The form can suit a growth company, family enterprise or joint venture that expects new investors, differentiated rights or a governance system more scalable than a closely held SRL. Flexibility is valuable only when the documents make decisions executable.

  • Founders preparing for outside capital or additional share issuances.
  • Investors who need reporting, consent and exit provisions.
  • Family groups separating operating leadership from ownership oversight.
  • Cross-border ventures that require a board and documented signature authority.

Statutory capital and the filing-date check

Article 3, paragraph III, of amended Law 479-08 says a SAS may be formed by two or more persons. Article 369-6 sets minimum authorized capital at RD$3,000,000 and requires at least ten percent to be subscribed and paid on formation. The Santiago Chamber currently displays RD$300,000 as the corresponding subscribed amount. Because Article 369-6 permits a conditional regulatory adjustment, Proxario checks with MICM and the competent Chamber for any filing-date adjustment before execution.

Scope of our work

  • A reasoned comparison of SAS, SRL and SA against the investment plan.
  • ONAPI trade-name application and review of the proposed corporate purpose.
  • Bylaws, formation resolutions, subscription records and initial appointments.
  • Provisions for shares, meetings, information, conflicts, signatures and transfers.
  • Registro Mercantil filing and the supporting corporate record.
  • RNC and beneficial-owner enrollment, with TSS coordination when employees are expected.

Formation sequence

  1. Governance term sheet. We turn the commercial bargain into a decision map before drafting.
  2. Name and capitalization. ONAPI, authorized capital, subscriptions, payments and share rights are reconciled.
  3. Documents and signatures. Bylaws and resolutions are prepared with powers, apostilles and translations where needed.
  4. Chamber and DGII. We submit Registro Mercantil and RNC work. The filing-date checklist, official charges and published response standards are confirmed before submission.
  5. Operational launch. The share register, minute record, signature matrix and compliance calendar are delivered to the right people.

What shareholders provide

  • Identification and addresses for shareholders, managers and beneficial owners.
  • A proposed capitalization table showing contribution, percentage and economic rights.
  • Evidence for cash or in-kind contributions in the form required for the selected filing.
  • Business activity, contracts, address and known regulated-permit needs.
  • Current apostilled foreign-company records and official Spanish translations.
  • Any investment term sheet so the corporate documents do not contradict it.

Illustrative scenario: a software company raising capital

A Dominican software founder accepts funding from two investors. Product decisions remain with management, while annual budgets, major debt and an asset sale require enhanced approval. The SAS bylaws allocate representation and shareholder votes; a coordinated shareholder agreement covers information, future issuances and an exit. Subscription evidence and the share register complete the legal record. The arrangement makes the negotiated system usable, but does not guarantee investment performance or replace financial and tax diligence.

Budgeting for formation and maintenance

Legal structuring, drafting and filing work is quoted in writing after reviewing the scope. Formation tax, Registro Mercantil, ONAPI, apostille, translation and certification costs are itemized separately. A customized SAS normally requires more governance work than a basic SRL. Applicable tax treatment, official charges and published agency response standards are confirmed against the structure and filing date.

Frequently asked questions about sas formation

May a SAS have only one shareholder?

No under the cited rule: Article 3, paragraph III, requires two or more persons. A one-owner natural-person business may evaluate an EIRL instead.

Must all authorized capital be paid at formation?

No. Article 369-6 requires at least ten percent subscribed and paid at formation. The remaining capitalization and evidence should be documented and checked with the filing Chamber.

Is a SAS automatically better than an SRL for investment?

No. A SAS earns its complexity when negotiated share rights, future rounds or layered approvals matter. An SRL may be more proportionate for a small, stable ownership group.

Do the bylaws replace a shareholder agreement?

Not necessarily. Bylaws govern the company and are filed publicly; a shareholder agreement can regulate additional obligations among its parties. They must be reviewed together.

Can an overseas shareholder complete formation remotely?

Often, with a carefully scoped power and properly authenticated documents. Notarization, apostille or legalization, translation and current filing requirements must be confirmed before execution.
